Jeffrey J. Peterson advises businesses in a broad spectrum of areas, including organizational planning, succession planning, mergers and acquisitions, corporate law, real estate, financing, securities, tax and regulatory compliance. Prior to his career in law, Mr. Peterson was a founding shareholder and manager of a Denver area corporation specializing in research and consulting for lenders, developers and builders in the Denver, Boulder, Colorado Springs, Albuquerque, New Mexico and Austin, Texas real estate markets. His experience in consulting with business owners as well as owning and managing a business have provided him with the background and insight to handle a wide range of legal and other issues impacting businesses.

Mergers and Acquisitions practice:

  • Merger of two privately held specialty insurance brokerage firms valued in excess of $32 million;
  • Merger of two public corporations in the energy sector valued in excess of $100 million;
  • Reverse Merger of privately-held oil and gas company into a reporting public company shell;
  • Sale of privately held water and ditch company assets to a publicly-held corporation;
  • $50 million disposition of interests in family-owned oil and gas businesses by its principal owner;
  • $25 million spin-off of privately held specialty insurance brokerage business from its corporate parent;
  • Various other acquisitions, mergers and reorganizations in the energy, insurance, real estate and banking industries

Securities and Financing practice:

  • $144 million registered public offering of common stock by energy industry corporation;
  • $45 million private placement of common stock by public company;
  • Managing investment banking relationships for clients seeking second-stage financing;
  • Preparation of private placement memoranda for real estate developers, natural gas service companies, trust companies, and credit union service organizations

  • Representation of start-up and established companies as well as entity end-of-life and wind-up phase matters;
