Allison represents publicly traded and privately held companies in a wide range of oil and gas, mining and renewable energy transactions, with a focus on acquisitions and divestitures in the upstream and midstream energy sectors.

She has represented clients in a variety of domestic and international mining and oil and gas projects and transactions and has drafted purchase and sale agreements, exchange agreements, joint venture/development agreements, farmin/farmout agreements, and option agreements.  Allison has also served in an outside general counsel role for start-ups and emerging companies, advising on ownership structure, corporate formation and governance and drafting and negotiating a wide variety of commercial agreements pertaining to the day to day operations of energy companies.  She has extensive experience coordinating and conducting due diligence for large-scale domestic and international oil and gas and mining transactions and has prepared all forms of mineral title opinions, including drilling, division order and acquisition opinions covering fee, state and federal lands.

  • Acquisition of Oxy Land Grant assets in Wyoming, Colorado and Utah for $1.33 billion
  • Divestiture by public oil and gas company of upstream assets in Wyoming for $350 million
  • Acquisitions by public oil and gas company of upstream and midstream assets in Appalachian Basin with aggregate value in excess of $100 million
  • Exchange of 25,000 acres by public oil and gas company in DJ Basin valued at $130 million
  • Acquisition by public oil and gas company of upstream and midstream assets in the Ventura Basin of California valued in excess of $40 million
  • Numerous asset exchange agreements covering upstream assets in Colorado and Wyoming
  • DrillCo joint ventures by private oil and gas company in the Permian Basin in excess of $250 million
  • Preparation of domestic and international mining joint venture and option agreements
  • Representation of management team of privately held oil and gas company in private equity transaction with a $500 million capital commitment
